Globix, NEON Merger Nearing Close.
2005-02-18, HostMan.biz Application, media and infrastructure management services provider Globix Corporation (globix.com) and high bandwidth services and solutions provider NEON Communications, Inc. announced on Thursday that they will hold a shareholders meeting on Monday, March 7, 2005, regarding their proposed merger and other related matters. The two companies announced their intentions to merge last July. Upon closing of the transaction, NEON will become a wholly owned subsidiary of Globix. The transaction is expected to close shortly after shareholder approval. After the deal closes, NEON shareholders will receive 1.2748 shares of Globix common stock for each share of NEON common stock and 2.0833 shares of a new class of Globix preferred stock, plus $3.75 in cash for each share of NEON preferred stock. Globix has applied for listing of its shares of common stock on the American Stock Exchange in connection with the closing of the merger. |
